These Terms of Service govern your use of EquityTrace. By using the app, you agree to these terms.

Eligibility and Acceptance

You may use EquityTrace only if you can legally agree to these terms. If you use the app for an organization, you represent that you have authority to bind that organization.

Informational Use Only

EquityTrace summarizes public filings for research and informational purposes. It does not provide investment, financial, legal, accounting, or tax advice; recommend any security or transaction; or create an adviser, broker, fiduciary, or client relationship.

You are solely responsible for your decisions and should consult qualified professionals.

Public Data and Accuracy

Data may be delayed, incomplete, unavailable, incorrectly parsed, or affected by amendments and reporting conventions. Labels such as buy, sale, value, and insider activity are summaries and may not capture the full legal or economic meaning of a filing.

Verify important information in the original SEC filing before relying on it.

License

Subject to these terms, EquityTrace grants you a limited, personal, nonexclusive, nontransferable, revocable license to use the app for lawful, noncommercial purposes. No ownership rights are transferred to you.

Acceptable Use

You may not misuse the app, interfere with its operation or security, bypass access controls, scrape or automate access in a burdensome manner, reverse engineer the app except where law permits, or use the app or its content for unlawful, deceptive, or infringing activity.

Free and Paid Features

Available companies, history windows, alerts, exports, and other features may differ by plan and may change. If paid features are offered through an app store, the price, billing period, renewal terms, trial terms, and cancellation options shown in the purchase flow will apply. Purchases are also subject to the applicable app-store terms and policies.

Third-Party Services and Links

The app relies on or links to third-party services, including SEC EDGAR, Google Firebase, Apple services, and Google Play services. EquityTrace does not control those services and is not responsible for their availability, content, security, or practices.

Intellectual Property

EquityTrace and its original software, design, branding, and content are protected by applicable intellectual-property laws. Public SEC filings and third-party names, marks, and content remain subject to their respective rights.

Service Changes and Termination

EquityTrace may modify, suspend, or discontinue any part of the app. Your permission to use the app may be suspended or terminated if you violate these terms, create risk, or misuse the service.

Disclaimer of Warranties

To the fullest extent permitted by law, the app and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including accuracy, availability, merchantability, fitness for a particular purpose, title, and noninfringement.

Limitation of Liability

To the fullest extent permitted by law, EquityTrace and its developer will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, data, opportunities, or goodwill; investment losses; or damages arising from reliance on app content.

Governing Law

These terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict-of-law rules.

Changes to These Terms

We may update these terms as the app or applicable requirements change. The revised terms will show a new effective date.
